Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CommentLink website, application, and APIs ("Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

"CommentLink," "we," "us," "our" refers to the operator of CommentLink. The Service is operated from India and governed by Indian law.

2. Eligibility

• You must be at least 18 years old, or the age of majority in your jurisdiction.
• You must have authority to bind the entity you represent, if any.
• You must not be barred from using the Service under applicable law (including export controls).

3. Your account

• You are responsible for keeping your login credentials secure. Notify us immediately at security@commentlink.in if you suspect unauthorised access.
• You are responsible for all activity that happens under your account, including by team members you invite.
• One natural person may operate multiple Instagram accounts on a single CommentLink account, subject to plan limits.

4. The Service

CommentLink connects to your Instagram Business or Creator account via Meta's official Instagram Graph API. We process events (comments, DMs, story replies) you have explicitly subscribed to via automations you build, and we send messages on your behalf using your authorised access token.

We are a tool. You are responsible for the content of your automations and the messages they send. You are the data controller for your contacts; we are your data processor.

5. Acceptable use

You agree not to use the Service to:

• Send messages that violate Meta's Community Standards, Platform Terms, or Messaging Policies.
• Send unsolicited bulk messages (spam) or harvest user data.
• Impersonate any person or entity, including CommentLink itself.
• Promote illegal goods, hate speech, harassment, sexually explicit content, or content that endangers minors.
• Reverse engineer, scrape, or interfere with the Service.
• Attempt to circumvent rate limits, plan limits, or security controls.
• Use the Service in any way that would cause Meta to suspend or restrict your Instagram account or our application.

6. Meta & Instagram dependencies

The Service depends on the Instagram Graph API. We do not control Meta's availability, rate limits, policies, or pricing of access to its APIs. Meta may at any time change, suspend, or terminate API access. Such changes are outside our control, and your sole remedy for such changes is to cancel your subscription.

You authorise us to act on your behalf via the Instagram access token you grant during OAuth, strictly to deliver the Service.

7. Plans, billing, and refunds

7.1 Free plan

The Free plan is provided as-is. We may change the included limits at any time with 30 days' notice.

7.2 Paid plans

• Paid plans renew automatically each month or year until cancelled.
• You authorise us (via Razorpay or Stripe) to charge your payment method on each renewal.
• Prices listed are exclusive of GST/VAT/sales tax, which we add at checkout where applicable.
• If a charge fails, we'll retry per Razorpay/Stripe's standard dunning. After repeated failure we'll downgrade you to the Free plan; your automations are paused but data is preserved.

7.3 Refunds

• Annual plans: full refund within 7 days of signup or renewal if no DMs have been sent under the new period. Otherwise pro-rated for the unused portion only.
• Monthly plans: no proration. Cancellation takes effect at the end of the current cycle.
• Service outages on our side that cause a material loss of value (per our SLA) qualify for a pro-rata credit on request.

7.4 Quota

If you exceed your monthly DM quota, automations queue (don't fail) and we prompt you to upgrade. We do not auto-charge for overages.

8. Your content

You retain all rights to the content you create on the Service (automation copy, captured leads, message text). You grant us a limited licence to host, process, and transmit it solely to deliver the Service to you. We do not use your content to train AI models.

9. Intellectual property

CommentLink, the logo, the codebase, the documentation, and all related trademarks are our property. These Terms grant you no licence except the right to use the Service per these Terms.

10. Beta features

We may release features labelled "beta," "experimental," or "preview." Such features are provided as-is, may be removed without notice, and are excluded from any SLA or warranty.

11. Suspension & termination

• You may cancel your subscription at any time from Settings. Your data is preserved on the Free tier; account deletion fully purges it (see Data Deletion).
• We may suspend or terminate accounts that violate Meta's policies, these Terms, or that we reasonably believe are being used to cause harm.
• On termination for cause: outstanding fees become immediately payable; no refunds for the unused portion.
• On termination not for cause (e.g. the Service is discontinued): we'll provide at least 30 days' notice and refund unused prepaid fees pro-rata.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT META WILL CONTINUE TO PROVIDE API ACCESS.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

14. Indemnity

You will defend, indemnify, and hold us harmless from third-party claims arising out of (a) your content or automations, (b) your breach of these Terms or applicable law, or (c) your breach of Meta's policies while using the Service.

15. Changes to the Terms

We may update these Terms. Material changes will be notified by email and posted here with a new "Last updated" date at least 14 days before taking effect. Continuing to use the Service after that constitutes acceptance.

16. Governing law & disputes

These Terms are governed by the laws of India. Courts located in Bengaluru, Karnataka shall have exclusive jurisdiction, subject to any mandatory provisions of consumer protection law that grant you the right to bring proceedings in your country of residence.
